1. Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and BASIS DIGITAL INFRASTRUCTURE LTD (Company No: 248559), a company incorporated under the laws of the Republic of Seychelles ("BASIS", "we", "us", or "our").
These Terms govern your access to and use of the https://basis.pro/ website and our quantum arbitrage, staking infrastructure, Base58 Hyper-Latency Engine (BHLE), and related services (collectively, the "Services").
By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by all of these Terms.
2. Eligibility and Compliance
By using our Services, you represent and warrant that:
You are at least 18 years of age or of legal age to form a binding contract in your jurisdiction.
You are not a citizen, resident, or entity located in a jurisdiction where the use of digital assets or our Services is illegal or subject to sanctions (including, but not limited to, comprehensively sanctioned countries by OFAC or FATF).
Your use of the Services will fully comply with all applicable laws and regulations, including Anti-Money Laundering (AML) and Counter-Terrorism Financing (CTF) laws.
3. Description of Services
BASIS provides an institutional-grade decentralized infrastructure that lets users:
stake digital assets (including BTC, ETH, PAXG, and SOL) to generate yields through proprietary market-neutral arbitrage algorithms,
participate in the Trinity Reward System,
access the Base58 Hyper-Latency Engine (BHLE) execution environment.
We act strictly as an infrastructure provider. We do not act as your broker, financial advisor, or portfolio manager.
4. Assumption of Risk
You acknowledge and agree that use of the Services involves significant risks, including but not limited to:
Market Risk: The value of digital assets is highly volatile. You may lose all or part of your staked assets.
Smart Contract Risk: Our infrastructure relies on blockchain technology and smart contracts. While audited, smart contracts may contain inherent flaws, vulnerabilities, or bugs that could result in the total or partial loss of funds.
No Guarantee of Yields: Estimated Daily Reward Rates (Est. DRR) and APYs displayed on the platform are projections based on historical data and current market conditions. They are not guaranteed and may fluctuate significantly.
Regulatory Risk: Legislative or regulatory changes at the state, federal, or international level may adversely affect the use, transfer, exchange, and value of digital assets.
Liquidity Risk: Staked assets in lock-up pools are subject to the lock-up duration and the 7-day unstaking buffer. BASIS cannot guarantee instant liquidity.
Third-Party Exchange Risk: BASIS executes strategies across multiple third-party exchanges. Exchange failures, API outages, or insolvency events may affect strategy performance.
5. Account Security and Wallets
You are solely responsible for maintaining the confidentiality of your account credentials, email, and the private keys of any non-custodial wallets connected to our Platform.
BASIS will never ask for your private keys or seed phrases.
We are not liable for any loss or damage arising from:
your failure to protect your credentials,
unauthorized access to your wallet or email account,
phishing attacks or social engineering against you.
6. Prohibited Activities
You agree not to engage in any of the following:
Attempting to hack, exploit, manipulate, or disrupt the BHLE, smart contracts, or the Trinity Reward System.
Using the Services for money laundering, terrorist financing, tax evasion, or any other illicit activity.
Employing bots, Sybil attacks, or other automated means to manipulate the referral system or extract unearned yields.
Reverse-engineering or decompiling any aspect of the Platform.
Providing false or misleading information during account creation or verification.
Using the Services in any manner that could damage, disable, overburden, or impair our systems.
7. Intellectual Property
All code, algorithms (including the Base58 Hyper-Latency Engine), UI/UX designs, trademarks, and content provided on the Platform are the exclusive intellectual property of BASIS DIGITAL INFRASTRUCTURE LTD.
You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal or internal business purposes only. Nothing in these Terms grants you any right to use the BASIS name, logos, or trademarks.
8. Disclaimer of Warranties
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, BASIS expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that:
the Services will be uninterrupted, error-free, or free of viruses or other harmful components,
any information provided through the Services will be accurate, complete, or current.
9. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall BASIS, its affiliates, directors, employees, agents, or licensors be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from:
your access to or use of (or inability to access or use) the Services,
any conduct or content of any third party on the Services,
any content obtained from the Services,
unauthorized access, use, or alteration of your transmissions or content.
10. Indemnification
You agree to defend, indemnify, and hold harmless BASIS and its affiliates, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Services.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Seychelles, without regard to its conflict of law provisions.
Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of a recognized arbitration body, and the seat of arbitration shall be Victoria, Seychelles.
12. Changes to Terms
We reserve the right to modify these Terms at any time. notify users of material changes by updating the "Last Updated" date at the top of this page. Your continued use of the Services after any modification constitutes your acceptance of the revised Terms.
